Terms of Service

By downloading, installing, or using the Sprig application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

Sprig is an AI-powered recipe application that allows users to generate, import, save, organize, and share recipes. The App includes features such as meal planning, shopping list generation, dietary preference management, allergen filtering, and a community platform for sharing and discovering recipes.

We reserve the right to modify, suspend, or discontinue any part of the service at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the service.

To access certain features of the App, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Maintain the security of your password and accept all risks of unauthorized access to your account.
• Notify us immediately if you discover or suspect any security breach related to your account.

You are responsible for all activity that occurs under your account. We reserve the right to terminate accounts, remove or edit content, at our sole discretion. You must be at least 13 years of age to create an account.

Sprig offers both free and premium subscription tiers. Premium features are available through a paid subscription.

• Subscriptions are billed on a recurring basis (monthly or annual) through your device's app store (Apple App Store or Google Play Store).
• You authorize us to charge the applicable subscription fees to your chosen payment method.
• Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current billing period.
• Refunds are governed by the policies of the applicable app store.
• We reserve the right to change pricing with reasonable notice. Continued use after a price change constitutes acceptance of the new pricing.
• A free trial, if offered, will automatically convert to a paid subscription unless cancelled before the trial period ends.

"User Content" means any content you submit, upload, or otherwise make available through the App, including recipes, photos, reviews, and comments.

You retain ownership of your User Content. By submitting User Content, you grant Sprig a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform your User Content in connection with operating and improving the service.

You represent and warrant that: (a) you own or have the necessary rights to your User Content; (b) your User Content does not infringe any third-party intellectual property, privacy, or other rights; and (c) your User Content complies with these Terms.

When using Sprig's community features, you agree not to post content that:

• Is false, misleading, or deceptive.
• Is defamatory, obscene, offensive, hateful, or harmful.
• Infringes any patent, trademark, trade secret, copyright, or other intellectual property right.
• Violates any applicable law or regulation.
• Contains malware, viruses, or any malicious code.
• Constitutes unsolicited commercial communications (spam).
• Impersonates any person or entity.
• Promotes dangerous or harmful activities.

We reserve the right to remove any content that violates these guidelines and to suspend or terminate accounts of repeat violators.

The App and its original content (excluding User Content), features, and functionality are owned by Sprig and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

The Sprig name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Sprig. You may not use such marks without our prior written permission.

Your use of Sprig is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, and share information about you when you use our services.

By using Sprig, you consent to the collection and use of your information as described in our Privacy Policy. Please review the Privacy Policy carefully.

You agree to indemnify, defend, and hold harmless Sprig and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms.
• Your User Content.
• Your use of the App in a manner not authorized by these Terms.
• Your violation of any rights of a third party, including intellectual property rights.

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the App will immediately cease. If you wish to terminate your account, you may simply discontinue using the App and delete your account through the App settings.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the App shall be resolved exclusively through binding individual arbitration, except that either party may bring claims in small claims court. You waive any right to participate in a class action lawsuit or class-wide arbitration.

You agree that any legal action or proceeding between you and Sprig shall be brought exclusively in the federal or state courts located in Delaware, and you consent to personal jurisdiction in those courts.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you through the App or by email at least 30 days before the changes take effect.

Your continued use of the App after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the App before the changes take effect.
